End User Licence Agreement
The licence you receive when you buy or download a product from Animworks, in plain English. The PDF carries the same terms word for word, for your records or your legal team.
Download as a PDFThis agreement is between you (the licensee, whether an individual or the company you act for) and Animworks Ltd, company number SC674770, registered in Scotland at 5 South Charlotte Street, Edinburgh EH2 4AN (“Animworks”, “we”). It governs your use of digital products purchased or downloaded from anim.works, including rigs, plugins, motion capture data, tutorials and other downloadable content (“products”).
Products on Animworks are created by Animworks or by independent creators who sell through our marketplace. In either case, the licence below is what you receive when you buy or download a product.
1. What you are granted
On purchase or download you receive a non-exclusive, non-transferable licence to install and use the product for the purpose it is made for, on the terms below and on any terms stated on the product’s own page.
Where a product is sold with a stated number of seats, one seat covers one named person. A licence key may be activated on the number of machines shown for that product, and you can move it between machines by deactivating one and activating another from your Animworks dashboard.
2. What you may do
- Use the product in your own work, including commercial productions such as games, films, advertisements and client work, where you hold a paid or commercial licence for it.
- Keep and use everything you make with the product. Renders, baked animations, gameplay, builds and other outputs are yours. The product itself remains the intellectual property of its creator.
- Install the product on the machines your licence covers, and take a private backup copy.
3. What you may not do
- Redistribute, resell, sublicence, share or give away the product files, in whole or in part, even for free.
- Include the product in a deliverable in its original editable form. Bake, publish or otherwise flatten it first, so the deliverable does not contain the product itself.
- Use one seat for more than one person, or share licence keys.
- Remove or alter licensing, attribution or copyright information contained in the product.
- Reverse engineer the product, except to the extent the law allows this despite the agreement.
4. Free products
Unless the product page states otherwise, free products are licensed for personal, educational and non-commercial use. Some free products grant wider rights, including commercial use; where they do, the product page says so and those terms apply.
5. Licence types and duration
Perpetual licences. Where a product is sold as a one-time purchase, your licence does not expire. You receive updates to the product for as long as the creator offers them, and nothing further is owed to keep using the version you have.
Fixed-term and subscription licences. Where a product page states a licence duration or subscription term, your licence lasts for the paid term plus any stated grace period, as set out in section 4a of our Terms of Service, including its provisions on renewal, cancellation and refunds.
6. Companies and teams
A company may purchase on behalf of a named user, and that user holds the seat. If your team needs several seats, a broadcast licence, or original editable files in a deliverable, contact partnerships@anim.works and we will arrange terms that fit, together with the product’s creator where the product is theirs.
7. Precedence
Specific licence terms stated on a product’s page take precedence over this agreement. This agreement otherwise sits alongside our Terms of Service, which govern purchase, billing, refunds and use of the site; where this agreement and the Terms of Service conflict on price, billing, renewal, cancellation, refunds or your statutory rights, the Terms of Service prevail.
8. Termination
We may end this licence if you materially breach it and do not put the breach right within 14 days of us telling you about it. On termination you must stop using the product and delete your copies. Sections 2 (your ownership of outputs made before termination), 3, 7, 9 and 10 survive termination.
9. Warranty and liability
Products are provided as described on their product pages. Nothing in this agreement limits or excludes liability that cannot be limited or excluded by law, and nothing in it affects your statutory rights. Our liability is otherwise as set out in the Terms of Service.
10. Governing law
This agreement is governed by the laws of Scotland and the United Kingdom.
